These Terms of Service (“Terms”) govern your use of the Prowl market intelligence platform at prowl.chat (the “Service”), operated by Prowl (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using the Service, you confirm that you are at least 16 years of age and agree to these Terms. If you do not agree, you may not use the Service.

2. Account Registration

  • You must provide a valid email address and create a secure password.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

Prowl provides automated market intelligence reports by orchestrating multiple third-party data sources and analysis tools. Reports are generated based on publicly available information and are intended for business intelligence purposes.

4. Subscriptions and Payments

  • The Service offers free and paid subscription plans with varying report limits.
  • Paid subscriptions are billed monthly through Stripe.
  • Prices are listed in USD and may change with prior notice.
  • You may cancel your subscription at any time; access continues until the end of the current billing period.
  • Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated scripts or bots to access the Service outside of normal usage
  • Resell, redistribute, or sublicense access to the Service without our written permission
  • Use generated reports to harass, defame, or harm individuals or organizations
  • Submit queries intended to generate harmful, illegal, or malicious content

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, branding, and proprietary analysis methods, is owned by Prowl and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

6.2 Your Content

You retain ownership of the queries you submit. Reports generated by the Service are provided to you under a non-exclusive license for your business use. You may share reports via the built-in sharing feature.

6.3 Third-Party Data

Reports may contain information derived from third-party sources. We do not guarantee the accuracy, completeness, or timeliness of third-party data. You are responsible for verifying any information before making business decisions.

7. Disclaimers

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
  • We do not guarantee uninterrupted, error-free, or secure operation of the Service.
  • Reports are generated using AI and automated tools; they may contain inaccuracies or outdated information.
  • The Service does not constitute professional business, legal, or financial advice.

8. Limitation of Liability

To the maximum extent permitted by law, Prowl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Prowl and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

  • You may delete your account at any time by contacting us at [email protected].
  • We may suspend or terminate your account if you violate these Terms or engage in abusive behavior.
  • Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a revised date. Your continued use of the Service after changes constitutes acceptance.

12. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
